Investment advisers and investment companies play a significant role in capital formation within the United States and globally and contribute significantly to the effective and efficient functioning of global capital markets. This course will provide broad exposure to the legal and regulatory framework that governs the operations and activities of investment advisers, investment companies, and other participants in the investment management industry. It will examine how the applicable laws and regulations govern the formation, governance, distribution and operations of advisers, traditional mutual funds, and other types of investment vehicles, such as ETFs, close-end funds, CITs, hedge funds, and private equity/venture capital funds. The course will also familiarize students with the role of the Securities and Exchange Commission and other regulators in overseeing the industry. While focusing on U.S. law and regulation, the course will also touch on certain international regulatory issues. Finally, students will gain an understanding of the role of the investment-management law practitioner. Suggested Preparation: Business Organizations and Securities Regulation.
