This course provides students with experience in the general principles of the drafting of commercial contracts. Through a study of the Model Note Purchase Agreement common to most debt transactions, students will learn to analyze an agreement, connect the language in the agreement to the terms of the deal, and draft protections commonly requested by clients. Knowledge of The Uniform Commercial Code A. 9 is helpful but not necessary.
